These Terms of Service ("Terms") govern your access to and use of Deltapp (the "Service"). Deltapp is operated by Deltapp, an independent software developer established in Bulgaria (European Union) ("Deltapp", "we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service. Your use of the Service is also governed by our Privacy Policy, our Acceptable Use Policy, and our Data Processing Addendum, each of which forms part of these Terms.
Deltapp is software that helps you run an online reselling business. You connect your own eBay and Amazon-facing accounts, and the Service helps you create and manage listings and drafts, sync prices and stock, reprice, sync your eBay orders, upload dispatch and tracking details, send buyer messages, manage feedback, and view trending insights. Deltapp does not buy products for you and does not fulfil orders for you. You are the seller of record on every listing and every order, and fulfilment is carried out by you.
1. Definitions
In these Terms:
- Deltapp, we, us, and our mean the operator of the Service.
- You and User mean the account holder.
- Service means the Deltapp software, website, and related features.
- Fees means the subscription and other charges you pay for the Service.
- Content means the data you upload or generate through the Service, including listings, drafts, and buyer order data.
- Marketplaces means eBay (in any region) and Amazon.
- Scraping Providers means the third-party data-collection providers we rely on (such as BrightData, Decodo, SerpAPI, RapidAPI, scrape.do, Cloudflare, and similar).
2. Account and eligibility
- You must be at least 18 years old and legally able to enter into contracts.
- You must provide accurate registration details and keep your account email current.
- You are responsible for all activity under your account and for keeping your credentials secure.
- One account per person. You must not share, resell, or sub-license your access.
3. The Service and what it is not
Deltapp is software-as-a-service that helps you run an online reselling business. It connects to your own eBay and Amazon-facing accounts and helps you create and manage listings and drafts, sync prices and stock, reprice, sync your eBay orders, upload dispatch and tracking details, send buyer messages, manage feedback, and view trending insights.
Deltapp does not purchase products on your behalf and is not the seller or supplier of any item you list. You are the seller of record for every listing and order, and you alone are responsible for sourcing, pricing, fulfilment, dispatch, customer service, returns, and compliance with the rules of any Marketplace you use and with all applicable law. Fulfilment is carried out by you.
4. No income, profit, or results guarantee
Deltapp is a productivity tool, not an income opportunity, investment, or business-in-a-box, and we make no promise that you will earn any money or achieve any particular result by using it. Nothing on our website, in our marketing, in onboarding, in any trending or insight feature, in support conversations, or anywhere else, is a guarantee, projection, or assurance of sales, revenue, profit, margin, growth, ranking, or success.
Any figures, examples, case studies, testimonials, screenshots, sample margins, or trending-product signals we show are illustrations only. They are not typical, not promised, and not predictive of your results. Outcomes in reselling depend on factors specific to you and outside our control, including your sourcing, pricing, niche, effort, customer service, competition, marketplace conditions, supplier behaviour, and the policies and enforcement of the Marketplaces you sell on. You use the Service to run your own business at your own commercial risk, and you are solely responsible for the results.
5. Marketplace-policy risk and account safety
Deltapp is a software tool. It connects to your eBay and Amazon accounts and automates listing, pricing, stock, order, messaging, and feedback tasks that you direct it to perform. It does not operate your business for you. You are the seller of record on every listing and every order, and you alone are responsible for complying with all rules that apply to your selling activity. This includes, without limitation: eBay's User Agreement and seller policies (including its dropshipping policy and its Verified Rights Owner (VeRO) and intellectual-property policies), Amazon's Conditions of Use and applicable seller and buyer policies, the terms of any payment processor you use, and all applicable laws, regulations, and tax obligations in every jurisdiction you sell into.
You acknowledge that Marketplaces set and change their own rules, that they permit some sourcing and fulfilment models and restrict or prohibit others, and that you are responsible for understanding and operating within those rules for your own account. Deltapp does not review your listings or your sourcing for policy compliance, does not approve or endorse any particular selling method, and does not warrant that any use of the Service is permitted by any Marketplace.
Deltapp does not control the Marketplaces and cannot guarantee the status, safety, reach, or continuity of your accounts or listings. We are not responsible or liable for, and you agree not to hold us liable for, any account suspension, restriction, limitation, or closure; any listing removal, block, demotion, or VeRO takedown; any selling-limit, hold, withheld payout, or defect or metric impact; any loss of sales, ranking, reputation, data, or access; or any fines, claims, or losses arising from your selling activity or from any Marketplace's enforcement of its rules against you. This applies however the issue arises, including where the Service contributed to it. If a Marketplace requires you to stop using third-party automation, you are responsible for stopping, and your obligations under these Terms (including any Fees due) continue.
6. Product data accuracy
The Service shows and acts on product information (including prices, stock and availability, titles, descriptions, images, and other attributes) that is collected from Amazon and other third-party sources by automated means. This data is read-only, captured at a point in time, and is not a live feed. It can be delayed, incomplete, mismatched to the wrong item, or out of date by the time you or the Service act on it, because source prices and stock can change at any moment without notice and our collection runs on a schedule, not in real time.
We do not warrant that any product data is accurate, current, complete, or available, and we are not the source of that data. Any automated action the Service takes on your instruction, including repricing, stock updates, relisting, ending listings, or buyer messaging, is based on the most recent data we hold, which may already be stale. You are responsible for setting sensible pricing rules and safety margins, and for verifying price, availability, item condition, and supplier terms before you rely on them, and especially before you fulfil an order. You remain responsible for honouring or cancelling your own marketplace sales in line with marketplace rules.
Deltapp is not liable for any loss arising from inaccurate, delayed, or changed source data, including a sale made at a price or on an item that the source has since changed, increased, restricted, or stopped stocking, or any cost, loss of margin, cancellation, defect, or penalty resulting from fulfilling (or failing to fulfil) such a sale.
7. Buyer messaging, feedback, and tracking automation
The Service can act on your behalf using the settings and triggers you configure, including sending templated buyer messages, leaving eBay feedback, and uploading dispatch and tracking details. These actions run on your instructions and your configuration. You are the author and sender of any message, feedback, or data left from your account, and you are solely responsible for its content, accuracy, timing, and compliance with marketplace policy and applicable law. You must review and configure these features before enabling them, and you must not use them to leave feedback for transactions that did not occur, to manipulate or trade feedback, to send deceptive messages, or to submit shipment or tracking information that does not correspond to a genuine dispatch to the buyer. The optional proof-of-delivery tracking-number tool is off by default and is subject to the additional restrictions in our Acceptable Use Policy.
8. Third-party services and platform dependence
The Service depends on, and interoperates with, services operated by third parties, including the Marketplaces (eBay and Amazon), the Scraping Providers, hosting and cloud infrastructure, authentication, analytics, email delivery, and payment processing. These services are not controlled by Deltapp.
You acknowledge that third parties may change, restrict, deprecate, rate-limit, suspend, price, or discontinue their APIs, data, policies, or services at any time, with or without notice, and that this may degrade, interrupt, or prevent some or all features of the Service. Any such change is not a breach by Deltapp, and Deltapp is not responsible or liable for the acts, omissions, availability, accuracy, content, policies, or decisions of any third party, including any decision by a Marketplace to restrict, suspend, or close your account.
Your use of any Marketplace is governed by your own separate agreement with that platform, and you are responsible for complying with it. We do not warrant continued compatibility with, or access to, any third-party service, and we may add, change, or remove integrations at any time.
9. Disclaimer of warranties
The Service is provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by law, Deltapp disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that the Service or the servers that make it available are free of viruses or harmful components, or that the Service will meet your requirements or produce any particular commercial result.
Product and pricing data is obtained by automated collection (scraping) of publicly visible Amazon and other third-party pages, is read-only, is captured at a point in time, and is not a live feed. It may be inaccurate, incomplete, mismatched to the wrong item, delayed, or out of date. We do not warrant the accuracy, completeness, currency, or availability of any product information, price, stock level, image, or other data surfaced through the Service, and we provide no real-time guarantee. You are responsible for verifying any data before you rely on it to create a listing, set a price, or fulfil an order.
Deltapp does not purchase products on your behalf and is not the seller or supplier of any item you list. You are the seller of record for every listing and order, and you alone are responsible for sourcing, pricing, fulfilment, dispatch, customer service, returns, and compliance with the rules of any Marketplace you use and with all applicable law.
Any trending, analytics, repricing, or insight feature is provided for information only, is not advice, and is not a guarantee of sales, profit, ranking, or any other outcome. No advice or information, whether oral or written, obtained from Deltapp or through the Service creates any warranty not expressly stated in these Terms.
Some jurisdictions do not allow the exclusion of certain warranties or implied terms, so some of the above exclusions may not apply to you. Where an implied warranty or condition cannot be excluded, our liability for breach of it is limited to the maximum extent permitted by law and, where permitted, to re-supplying the Service or refunding the Fees paid for it. If you are a consumer, nothing here affects your mandatory statutory rights.
10. Limitation of liability
(a) Exclusion of indirect and certain damages
To the fullest extent permitted by law, Deltapp will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, sales, goodwill, business, anticipated savings, or data, or for any business interruption, marketplace account suspension or restriction, loss of selling privileges, or third-party claims, arising out of or in connection with the Service or these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, and whether or not Deltapp has been advised of the possibility of such damages.
(b) Liability cap
To the fullest extent permitted by law, Deltapp's total aggregate liability arising out of or in connection with the Service and these Terms, for all claims in aggregate, will not exceed the greater of (i) the total Fees you actually paid to Deltapp for the Service in the twelve (12) months immediately before the event giving rise to the liability, or (ii) one hundred US dollars (USD 100).
(c) Free and trial plans
If you use the Service on a free or trial plan, or otherwise pay no Fees, the cap in paragraph (b) is the fixed amount of one hundred US dollars (USD 100), which the parties agree is a fair and reasonable allocation of risk given that the Service is provided to you at no charge.
(d) Basis of the bargain
The disclaimers and limitations in these Terms reflect a reasonable allocation of risk between the parties, are a fundamental basis of the bargain, and apply even if any limited remedy fails of its essential purpose. The Fees would be substantially higher without them.
(e) Exceptions the law does not allow us to limit
Nothing in these Terms excludes or limits Deltapp's liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited. If you are a consumer, these Terms do not affect your mandatory statutory rights, and nothing here limits those rights.
(f) Jurisdictional carve-out
Some jurisdictions do not allow the exclusion or limitation of certain damages or of liability for negligence. In those jurisdictions, Deltapp's liability is limited to the smallest extent permitted by applicable law, and the rest of this section continues to apply.
11. Indemnification
You agree to defend, indemnify, and hold harmless Deltapp and its operator, contractors, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:
- (a) your Content, listings, drafts, product descriptions, images, pricing, and any data you upload, generate, publish, or transmit through the Service;
- (b) your use of the Service, including your sourcing, pricing, listing, fulfilment, dispatch, tracking, messaging, feedback, and customer-service activity, and any sale you make;
- (c) your breach of these Terms or of any representation you make in them;
- (d) your violation of the rules, policies, or agreements of any Marketplace (including eBay and Amazon) or of any payment processor, or of any applicable law, regulation, or third-party right (including intellectual property, consumer-protection, tax, and data-protection law);
- (e) any dispute between you and a buyer, a Marketplace, a supplier, a tax authority, or any other third party; and
- (f) your provision or use of any shipment, dispatch, or tracking information, including any tracking number you generate, upload, or submit through or alongside the Service.
We may, at our option and expense, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. You will not settle any such matter in a way that imposes any obligation or admission on Deltapp without our prior written consent.
12. Force majeure
Deltapp will not be liable or in breach for any delay or failure to perform caused by events beyond its reasonable control, including: acts of God, fire, flood, earthquake, or other natural disaster; epidemic or pandemic; war, terrorism, civil unrest, or government action; strikes or labour disputes; failures or disruptions of the internet, hosting, cloud infrastructure, electricity, or telecommunications; cyber-attacks, denial-of-service attacks, or security incidents; and any act, omission, outage, suspension, rate-limit, policy change, or discontinuation by a Marketplace, Scraping Provider, payment processor, or other third-party service on which the Service depends. During such an event our obligations are suspended for the duration of the event.
13. No affiliation with eBay or Amazon; trademarks
Deltapp is an independent product operated by Deltapp, an independent software developer established in Bulgaria (European Union). We are not affiliated with, endorsed by, sponsored by, or partnered with eBay, Amazon, or any other Marketplace, and our use of their APIs does not imply any such relationship. References to eBay, Amazon, or any other platform are for description and interoperability only.
"eBay", "Amazon", and all other marketplace names, logos, and trademarks are the property of their respective owners. We claim no ownership of and assert no rights in those marks, and we use them only nominatively to describe what Deltapp works with. Your use of any Marketplace remains governed by that Marketplace's own agreements with you, which are separate from these Terms.
14. Taxes
You are solely responsible for determining, collecting, reporting, paying, and remitting all taxes, duties, and charges arising from your selling activity and from your use of the Service. This includes, without limitation, income tax, sales tax, VAT or GST, marketplace facilitator taxes, import duties, and customs charges in every jurisdiction where you sell, source, ship, or are established. Deltapp does not provide tax, accounting, customs, or legal advice, does not calculate, collect, file, or remit taxes on your behalf, and any tax-related figures the Service may display are estimates for convenience only and must not be relied on for filing.
Prices, Fees, and subscription charges for the Service are stated exclusive of any taxes unless we state otherwise, and you are responsible for any taxes due on amounts you pay us. You are responsible for keeping your own records and for meeting your own filing and registration obligations. We are not liable for any tax, penalty, interest, duty, or charge assessed against you, nor for any under-collection or over-collection of tax on your sales.
15. Your account, plans, fees, and termination
You must provide accurate registration details and keep your account email current. You are responsible for all activity under your account and for keeping your credentials secure. We offer free and paid plans; paid Fees are billed in advance through our third-party payment processor, and card details never touch Deltapp's systems.
Either you or we may terminate your account at any time. We may suspend or terminate your access immediately for breach of these Terms or our Acceptable Use Policy, or where we reasonably believe there is a risk of harm to buyers, third parties, the Service, or other users. While your account is active you may export your products, drafts, orders, and activity history as CSV from within the app at any time. On account deletion we keep a 30-day recovery window during which you can reactivate; after that we remove your personal data from live systems without undue delay and clear it from backups within 14 days, except where the law requires us to keep certain records (for example tax). Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) continue to apply.
16. Support
We provide support on a commercially reasonable-efforts basis through the contact channel we make available (currently the in-app and website contact form). We aim to respond to general enquiries within 48 hours, and to priority enquiries from eligible paid plans within 24 hours, but these are targets, not guaranteed service levels, and we do not promise any particular response or resolution time.
17. Changes to the Service and to these Terms
(a) Changes to the Service
Deltapp is under continuous development. We may add, change, suspend, or remove features, plans, limits, or integrations, and we may set, change, or discontinue Fees, at any time. Where a change is material and within our reasonable control, we will use reasonable efforts to give notice. We are not liable to you or any third party for modifying, suspending, or discontinuing any part of the Service, except for any pre-paid Fees for a paid feature we permanently remove, which we will refund on a pro-rata basis for the unused period.
(b) Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will give reasonable notice (for example by email, or an in-app or website notice) before it takes effect. The "Last updated" date at the top shows when the Terms last changed. Your continued use of the Service after the change takes effect means you accept the updated Terms. If you do not agree, you must stop using the Service and may close your account; if you are on a paid plan, you may cancel and we will refund any pre-paid, unused Fees on a pro-rata basis.
18. General
(a) Assignment
You may not assign or transfer these Terms or any of your rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempt to do so is void. Deltapp may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
(b) Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and, to the extent it cannot be, will be severed; the remaining provisions will continue in full force and effect.
(c) Entire agreement
These Terms, together with any document we expressly incorporate by reference (including our Privacy Policy, Acceptable Use Policy, and Data Processing Addendum), are the entire agreement between you and Deltapp regarding the Service and supersede all prior or contemporaneous agreements, proposals, and understandings, whether written or oral, on that subject. You have not relied on any statement or representation not set out in these Terms.
(d) No waiver
Our failure or delay in enforcing any provision of these Terms is not a waiver of it. A waiver is effective only if it is in writing, and a waiver on one occasion does not waive any provision on any other occasion.
(e) Notices
We may give you notice by email to the address on your account, by posting within the Service, or by posting on our website, and such notice is deemed received when sent or posted. You must send legal notices to us at legal@deltapp.io, and they are deemed received when we acknowledge or actually receive them. It is your responsibility to keep your account email current.
(f) No agency
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Deltapp. Neither party may bind the other.
19. Governing law and disputes
These Terms are governed by the laws of Bulgaria, and the courts of Bulgaria have jurisdiction over any dispute, except where mandatory law in your country of residence gives you the right to bring proceedings in, or requires the application of the law of, your local courts. If you are a consumer in the EU or UK, nothing in these Terms deprives you of the protection of mandatory consumer-protection provisions of the law where you live.
